END USER LICENSE AGREEMENT (EULA) for URB App
IMPORTANT: PLEASE READ CAREFULLY BEFORE INSTALLING, DOWNLOADING, OR USING THE URB APP (“SOFTWARE”). BY INSTALLING, DOWNLOADING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS END USER LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, DOWNLOAD, OR USE THE SOFTWARE.
DEFINITIONS
1.1 “URB App” refers to the application or software owned and provided by [Service Provider’s Name], which enables users to [briefly describe the main purpose and functionalities of the URB App].
1.2 “Service Provider ” refers to Anna Sloan LLC AKA URB, 14515 Laplasiance rd, Monroe, MI 48161 , the owner and licensor of the URB App.
1.3 “User” refers to an individual or entity that installs, downloads, or uses the URB App.
LICENSE GRANT
2.1 Subject to the terms and conditions of this EULA, Service Provider grants User a limited, non-exclusive, non-transferable, and revocable license to use the URB App solely for personal or internal business purposes.
2.2 The license granted under this EULA is solely for the purpose of enabling the User to use the URB App in accordance with its intended functionalities and for lawful purposes. User may not use the URB App for any other purpose or in any manner that violates applicable laws or regulations.
INTELLECTUAL PROPERTY RIGHTS
3.1 The URB App and all related materials, including but not limited to software, documentation, design, trademarks, and other proprietary information, are the exclusive property of Service Provider and its licensors. All rights not expressly granted herein are reserved by Service Provider.
3.2 User acknowledges and agrees that this EULA does not grant any ownership rights or title in the URB App or its intellectual property to the User.
RESTRICTIONS ON USE
4.1 User agrees not to, and not to permit others to, directly or indirectly:
4.1.1 Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the URB App;
4.1.2 Use the URB App for any illegal, harmful, or unauthorized purposes;
4.1.3 Distribute, sublicense, lease, lend, rent, sell, or otherwise transfer the URB App to any third party;
4.1.4 Remove or alter any copyright, trademark, or proprietary rights notices affixed to or provided with the URB App;
4.1.5 Attempt to circumvent or disable any security or technological features of the URB App;
4.1.6 Use the URB App in any manner that could damage, disable, overburden, or impair the Service Provider’s servers or networks;
4.1.7 Use the URB App to transmit any viruses, malware, or other harmful code; or
4.1.8 Interfere with or disrupt the integrity or performance of the URB App or the data contained therein.
UPDATES AND SUPPORT
5.1 Service Provider may, at its sole discretion, provide updates, bug fixes, enhancements, or support for the URB App. Such updates may be automatic or require User action to install.
DISCLAIMER OF WARRANTIES
6.1 THE URB APP IS PROVIDED “AS IS,” AND SERVICE PROVIDER MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
LIMITATION OF LIABILITY
7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SERVICE PROVIDER OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE URB APP, EVEN IF SERVICE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TERMINATION
8.1 This EULA is effective until terminated. Service Provider may terminate this EULA at any time without notice if User fails to comply with any of its terms. Upon termination, User must immediately cease all use of the URB App and delete or destroy all copies of the URB App in its possession or control.
GOVERNING LAW
9.1 This EULA shall be governed by and construed in accordance with the laws of [Service Provider’s Jurisdiction], without regard to its conflict of laws principles.
ENTIRE AGREEMENT
10.1 This EULA constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous representations, understandings, or agreements, whether oral or written.
By installing, downloading, or using the URB App, the User acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this EULA. If the User does not agree with any provision of this EULA, they should not install, download, or use the URB App
